Terms of Service

By purchasing a subscription, submitting the Estiqo onboarding form, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" and "Customer" refer to that entity.

Estiqo is a software setup service for local service businesses. What you are purchasing today is:

• A one-time setup of a branded quote-request page and related materials for your business, configured by the Estiqo team based on the information you submit through our onboarding form.
• An ongoing subscription that keeps your branded materials hosted and available while the subscription is active.
• Basic onboarding support by email in connection with the setup described above.

Estiqo may describe additional planned functionality on its website (for example, on the Roadmap page). Those items are product plans, not commitments, and are not part of what you are purchasing under these Terms unless and until they are actually delivered.

Estiqo does not accept, process, or hold payments on behalf of your customers. Estiqo does not send invoices to your customers, does not manage your customers' payments, and does not act as a payment facilitator or merchant of record for your business.

Payments from you to Estiqo for the setup fee and subscription are processed by Stripe, Inc. on Stripe's hosted checkout. Your relationship with Stripe for those payments is governed by Stripe's own terms.

To use the Service you must be at least 18 years old and legally able to enter into a binding contract. The Service is intended for use by service-business owners and operators, not by consumers for personal use.

If ESTIQO provides login credentials or access to hosted materials in connection with your setup, we will deliver those by email. You are responsible for keeping any such credentials confidential and for all activity that occurs under them. Some accounts may not require customer-facing login at this time; where credentials are not issued, this section applies if and when they are.

You must notify us promptly at hello@estiqo.app if you suspect unauthorized use of your account or credentials.

You agree to:

• Provide accurate, current, and complete information in the onboarding form and keep it updated as needed.
• Only upload logos, brand assets, and other content that you own or have all necessary rights and permissions to use.
• Comply with all laws and regulations that apply to your business, including consumer protection, advertising, and pricing rules in your service area.
• Take responsibility for the accuracy of the pricing, service descriptions, and any quotes you deliver to your own customers.

You agree that you will not:

• Use the Service for anything unlawful, fraudulent, deceptive, or harmful.
• Upload content that infringes intellectual property, publicity, or privacy rights of others.
• Upload malware, harmful code, or content that is obscene, harassing, discriminatory, or otherwise objectionable.
• Attempt to disrupt, probe, scrape, reverse engineer, or gain unauthorized access to the Service or its underlying infrastructure.
• Resell, sublicense, or otherwise make the Service available to third parties outside your own business without our written consent.

Estiqo's current offer consists of a one-time setup fee and an ongoing monthly subscription, at the prices described on our pricing page at the time you check out. All prices are in U.S. dollars unless stated otherwise. Applicable taxes, if any, may be added at checkout.

Payments are collected by Stripe. If your Stripe subscription is configured to renew automatically, your payment method will be charged on each renewal date until you cancel. If auto-renewal is not enabled for your plan, your subscription will continue only for the billing period you have paid for and will not renew unless you take action to renew it. You are responsible for keeping your payment method current.

If payment fails or is disputed, we may suspend or terminate the Service and any hosted materials associated with your account until the balance is resolved.

Setup fee. The one-time setup fee is fully refundable until Estiqo begins setup work on your account, or for 72 hours after your purchase, whichever gives you the longer refund window. If we have already started setup work, the setup fee remains refundable during that initial 72-hour period. After the applicable refund window ends, the setup fee is non-refundable.

Monthly subscription. Monthly subscription fees are non-refundable for the current billing period. You may cancel at any time to prevent future renewals (see "Cancellation" below).

To request a refund within the applicable window, email us at hello@estiqo.app. Nothing in this policy limits any refund rights you may have under applicable law.

You may cancel your Estiqo subscription at any time by emailing hello@estiqo.app from the email address associated with your account, or by replying to any Estiqo billing email. Cancellations take effect at the end of your current paid billing period; you will retain access to hosted materials until that date.

After cancellation, we may retain your onboarding information and uploaded assets for up to 90 days in case you decide to reactivate, unless you ask us to delete them sooner or a longer retention period is required by law. See our Privacy Policy for details.

You retain all ownership rights in the business information, logos, brand assets, service descriptions, and other content you submit to Estiqo ("Customer Content").

You grant Estiqo a limited, non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and transmit your Customer Content solely as needed to provide the Service, including configuring your branded materials and sending operational or transactional emails related to your account. This license ends when your account and associated materials are deleted, subject to the retention period described above.

You represent and warrant that you have all rights necessary to submit your Customer Content to Estiqo and to grant this license.

The Estiqo name, logo, marketing website, software, designs, templates, and all other materials created by Estiqo (excluding Customer Content) are owned by Estiqo or its licensors and are protected by intellectual property laws. Except for the limited right to use the branded materials configured for your business while your subscription is active, these Terms do not transfer any intellectual property rights to you.

The Service relies on third-party providers, including Stripe for payment processing, Supabase for database and storage infrastructure, cloud hosting providers for hosting and email delivery, Cloudflare for edge delivery, and Google Fonts for typography. Your use of Stripe is subject to Stripe's own terms and privacy notice. Estiqo does not control third-party services and is not responsible for their availability or acts and omissions.

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Estiqo disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Estiqo does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses; that any particular deliverability, uptime, or business result will be achieved; that the pricing or quote logic you configure will be accurate for every situation; or that third-party services relied on by the Service will remain available. You are solely responsible for the accuracy of the quotes you send to your own customers and for your business decisions based on the Service.

To the fullest extent permitted by law, in no event will Estiqo, its owners, employees, contractors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or business opportunity, arising out of or related to the Service or these Terms, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, Estiqo's total aggregate liability arising out of or related to the Service or these Terms will not exceed the greater of (a) the total amount you paid to Estiqo in the 12 months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). These limitations apply regardless of the theory of liability and even if any remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless Estiqo and its owners, employees, and contractors from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Customer Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your dealings with your own customers, including any disputes about pricing, service quality, or quotes you send them.

We may suspend or terminate your access to the Service, in whole or in part, at any time and without prior notice if we reasonably believe that you have violated these Terms, that your account has been used for fraudulent or unlawful activity, that payment on your account has failed, been charged back, or been disputed, or that continued operation of your account creates risk to Estiqo, its providers, or other users.

You may terminate your use of the Service at any time as described in the "Cancellation" section. Sections of these Terms that by their nature should survive termination will survive, including "Customer Content and Branding" (as to the license granted for materials already delivered), "Estiqo Intellectual Property," "Disclaimers," "Limitation of Liability," "Indemnification," and "Governing Law and Disputes."

Our Privacy Policy describes how we collect, use, and protect information in connection with the Service and is incorporated into these Terms by reference.

We may update these Terms from time to time to reflect changes to the Service or for legal or operational reasons. When we do, we will update the Effective Date at the top of this page. For material changes, we will take reasonable steps to notify you, such as by email or a notice on the website. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws principles.

You and Estiqo agree that any lawsuit or legal proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the Commonwealth of Pennsylvania, and each party consents to the personal jurisdiction and venue of those courts. Nothing in these Terms requires arbitration or waives your right to participate in a class action.
